Corporate Governance Charter
Agfa-Gevaert has a long tradition of good citizenship. As a company we strive for profitable growth, but at the same time attach great value to the impact our activities have on the environment, to the health and safety of our employees and to the relations with all of our stakeholders.
We consider Corporate Governance to be an important tool to improve constantly and systematically the way our company is managed and the way our company looks after the interest of shareholders and stakeholders. We are conscious of the fact that the way companies operate in today's society is undergoing profound changes to which we should respond.
From the date of our listing on the Euronext Brussels stock exchange in June 1999, Agfa-Gevaert has paid great attention to transparent policies that determine the governance of the company. Most of Agfa-Gevaert's existing policies were already in conformity with the Belgian Code on Corporate Governance for stock quoted companies as it was issued at the end of 2004. In conformity with the guidelines of this 2004 Code, the Agfa Board reviewed the Corporate Governance Charter in 2008. While doing so, the Board already adjusted its Corporate Governance Charter to the Draft 2009 of the Belgian Corporate Governance Code (the “2009 Code”) to be well prepared to adopt the 2009 Code as its reference code as from the financial year beginning on January 1, 2009.
